Report from LEGAL/FINANCIAL TEAM (Treasurer Vicky Martin, David Williams)

– (Sec. Ali D. needs to meet with Vicky to get check signing auth.)
TAX REPORT: Vicky will file the 990N form by May 15th, 2019
EXPENSES:
- PO BOX 708, $60 annually (Sec. Ali D. has the key)
- $100 Donation from Jeff Berger, (not in balance). Vicky will send thank you.
- Insurance policy held with Mitchel-Joseph Insurance ($166.23 annually)
- Policy payment due at the time of this meeting.
- Motion made by Chris Abraham to pay the $166.23 amount ,noting that Vicky will have further conversations about the actual coverage of the policy. She will present to the NYCorp. Board what she finds and amendments to the policy (liability increase/board ins./vols covered) will be made if appropriate. Motion was Seconded by David Williams. All voted in favor. Motion carried.
- Vicky Martin will approach NCS (Mitch Ball) to make them aware of our policy and it’s coverage. Vicky will ask if they have concerns with current student use. Vicky will ask Insurance rep. about this issue prior to school meeting. If a more involved meeting with the school is advised, Vicky will make the board aware of this before any commitments/decisions are made. Thank you Vicky!
David Williams reported an update on the Amendment to the articles of Incorporation.
- Attorney, David Miller has created a legal document nullifying the 1955 amended purpose of the Naples Youth Corporation, and changing the NYC purpose of the corporation to read: “To provide all youth of Naples and it’s surrounding communities a safe, stimulating and inclusive environment to explore opportunities of education, recreation and growth.”
- Chris Abraham made a motion to approve this amendment to the certificate of incorporation. Matt Rischpater seconded the motion. All voted to approve. Motion carried.
- David Williams made a motion authorizing (President) Chris Abraham to sign the document. Motion seconded by Vicky Martin. All voted to approve. Motion carried. Meeting will be scheduled with David Miller to execute.
- Reported filling fees and costs should not exceed $300.
David Williams recommended adopting the amended article as our official mission statement. “To provide all youth of Naples and it’s surrounding communities a safe, stimulating and inclusive environment to explore opportunities of education, recreation and growth.”
Motion was made by Matt Rischpater to approve mission statement.
Vicky Martin seconded the motion.
All in favor. Motion carried.
David Williams reported that Attorney David Miller was drafting by-laws and would report to board with progress or concerns.
PROPERTY MANAGEMENT REPORT
– Vicky Martin has received a quote for tree work from Hillside Logging/Ryan Rector $745 (No action to be taken at this time)
– Concern for the stone fireplace on the property was raised by David Williams, noting the top of the fireplace was crumbling. Jodi Simmons-Caruso will assess whether the fireplace has any historic value. Ideas for dismantling and storing stones/bricks were raised.
– Concern over work done by volunteers was raised. Vicky Martin will inquire about coverage when insurance policy is reviewed.
PROPERTY DEVELOPMENT REPORT
- Matt Rischpater continues progress and reporting of feasibility study.
- It will be crucial for the survey to be conducted to proceed. Years Boundary still on track for In-Kind gift of survey.
- Items are in holding pattern in anticipation of Spring survey results.
- All NYCorp board members are encouraged to prepare for conversations regarding what can be created on the property. Including legal limitations, soliciting youth for ideas, extended costs for maintenance and utilities…etc.
